1Agreement to Terms
These Terms of Service ("Terms") govern your use of the Setit.io appointment booking platform ("Service") operated by VRLY Ventures LLC ("Company", "we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.
2Description of Service
Setit.io is a multi-tenant SaaS platform that enables service-based businesses to manage appointments, collect deposits, and process payments. We act as a technology facilitator connecting service providers ("Tenants") with their clients ("End Users").
3User Accounts and Responsibilities
3.1 Account Types
- Tenant Accounts: Business owners who subscribe to our platform
- Client Accounts: Customers who book appointments with Tenants
- Staff Accounts: Employees of Tenant businesses
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4Payment Processing and Financial Terms
4.1 Platform Role
We facilitate payment processing through Stripe Connect. We are not a merchant of record for transactions between Tenants and their clients.
4.2 Platform Fees
We charge a platform fee of 2.5% on successful deposit transactions processed through our system. This fee is separate from and in addition to payment processing fees charged by Stripe.
4.3 Subscription Fees
Tenant subscriptions are billed monthly or annually as selected. All fees are non-refundable except as required by law.
4.4 SMS Messaging & Overage Billing
4.4.1 SMS Message Allowances
Your subscription package includes a specified number of SMS messages per month for sending appointment reminders to your clients. SMS message allowances by package:
- Free Package: 0 SMS messages per month
- Trial Package: 0 SMS messages per month (trial period)
- Premium Package: 500 SMS messages per month
4.4.2 Definition of SMS Messages
For billing purposes, one "SMS message" equals one appointment reminder sent to a client, regardless of the character length or number of SMS segments required by the telecommunications carrier to deliver the message.
4.4.3 SMS Addons
You may purchase SMS Addons to increase your monthly message allowance:
- SMS Boost 200: 200 additional messages per month for $5.00/month
- SMS Boost 500: 500 additional messages per month for $10.00/month
- SMS Boost 1000: 1,000 additional messages per month for $18.00/month
Addons can be purchased as recurring monthly subscriptions or one-time purchases. Multiple addons may be active simultaneously and will add to your total monthly allowance.
4.4.4 Overage Charges
If you exceed your monthly SMS message allowance (package allowance + any active addon allowances), additional messages will be charged at the rate of $0.025 per message, with a maximum overage charge of $25.00 per month (1,000 additional messages).
4.4.5 Overage Billing Authorization
By accepting these terms and checking the authorization box during signup or package changes, you:
- Acknowledge that you understand SMS overage charges apply when you exceed your monthly allowance
- Authorize Setit to automatically charge your payment method on file for SMS overage charges
- Agree to the overage rate of $0.025 per message
- Agree to the maximum monthly overage cap of $25.00
- Understand that SMS messages will continue to be sent to your clients even after exceeding your allowance
4.4.6 Overage Notifications
We will send you email notifications when you reach the following usage thresholds:
- 80% of your monthly allowance: Informational notice
- 90% of your monthly allowance: Warning with upgrade/addon suggestions
- 100% of your monthly allowance: Notice that overage billing has commenced
- 3-5 days before month end: Summary of overage charges to be billed
4.4.7 Overage Billing Process
Overage charges are calculated and billed on the 1st day of the following month. You will receive:
- A pre-charge notification 3-5 days before the end of the month showing your projected overage charges
- An invoice or receipt after charges are processed
- Line-item details showing: number of overage messages × $0.025 rate = total charge
Your payment method on file (credit card) will be automatically charged for overage amounts.
4.4.8 Preventing Overage Charges
You may avoid or reduce overage charges by:
- Purchasing SMS Addons before reaching your limit
- Upgrading to a higher package tier with a larger SMS allowance
- Monitoring your SMS usage via the SMS Usage dashboard in your account
4.4.9 Maximum Overage Cap
Once you reach the maximum overage cap of $25.00 (1,000 additional messages) in a calendar month, you must purchase an SMS Addon or upgrade your package to continue sending SMS messages for the remainder of that month.
4.4.10 Disputes and Adjustments
If you believe there is an error in your SMS usage tracking or overage charges, please contact support within 48 hours of receiving the charge notification. We will review your account and make appropriate adjustments if warranted.
4.4.11 Changes to SMS Pricing
We reserve the right to modify SMS allowances, addon pricing, and overage rates with 30 days advance notice to active customers. Current customers will be grandfathered to their existing allowances unless they voluntarily change packages.
4.4.12 Cancellation of SMS Features
If you do not wish to be charged for SMS overages, you may:
- Disable SMS notifications for your appointments (clients will receive email reminders only)
- Downgrade to a package without SMS features
- Cancel your subscription entirely
Disabling SMS features will prevent all SMS messages from being sent and eliminate any possibility of overage charges.
5Tenant Responsibilities and Liabilities
5.1 Service Provider Obligations
Tenants are solely responsible for:
- Providing services as advertised to their clients
- Setting and enforcing their own cancellation and no-show policies
- Handling customer disputes and refunds
- Complying with applicable laws and regulations
- Maintaining appropriate business licenses and insurance
5.2 Policy Disclosure Requirements
Tenants must clearly display their terms of service, cancellation policies, and no-show charge policies to clients before booking confirmation.
6Deposit and No-Show Charge Policies
6.1 Platform Facilitation Only
We provide technology to facilitate deposit collection and no-show charge processing. We do not determine, control, or guarantee these policies.
6.2 Tenant Policy Enforcement
Each Tenant is solely responsible for:
- Setting reasonable and legally compliant policies
- Obtaining proper consent from clients
- Handling disputes and chargebacks
- Complying with consumer protection laws
7SMS/Text Messaging and Communications Consent (TCPA Compliance)
By providing your phone number and using our Service, you expressly consent to receive automated text messages, calls, and pre-recorded messages related to your appointments, account, and our services.
7.1 Message Types and Frequency
You may receive:
- Appointment confirmations and reminders (up to 3 messages per appointment)
- Booking notifications and updates
- Account alerts and security notifications
- Service updates and promotional offers (with separate opt-in)
7.2 Message and Data Rates
Message and data rates may apply. Contact your mobile carrier for details on your plan and any associated charges. We are not responsible for any carrier charges you may incur.
7.3 Opt-Out Instructions
You may opt out of SMS communications at any time by:
- Texting STOP to any message you receive from us
- Updating your communication preferences in your account settings
- Contacting support at support@setit.io
7.4 Opt-In and Consent
By providing your phone number, you affirm that:
- You are the authorized user of the phone number provided
- You consent to receive automated messages at the number provided
- Your consent is not a condition of purchase or service
- You understand that message frequency may vary

8Intellectual Property
The Service and its original content, features, and functionality are owned by VRLY Ventures LLC and are protected by intellectual property laws.
9Prohibited Uses
You may not use our Service:
- For any unlawful purpose or to solicit unlawful activity
- To violate any international, federal, provincial, or state regulations or laws
- To transmit or procure sending of spam or unsolicited marketing
- To interfere with or circumvent security features
- To send unauthorized SMS/text messages or make unauthorized calls
10Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VRLY VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
11Indemnification
You agree to defend, indemnify, and hold harmless VRLY Ventures LLC from and against any loss, damage, liability, claim, or demand arising out of your use of the Service or violation of these Terms.
12Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms.
13Governing Law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law provisions.
14Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in Middlesex County, New Jersey.
15Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification.
